Article 1 | Object
These general terms and conditions of sale apply in their entirety, without limitation, to any sales contract with VINCIVE media, with the exception of differing terms and conditions agreed upon in writing between the buyer and VINCIVE media. By placing an Application, including by e-mail, the Buyer accepts these terms and conditions.
Article 2 | Description of Services
VINCIVE media is a Marketing agency that helps High-end real estate offices and companies in the hospitality sector such as hotels, resorts, boutique hotels, restaurants and others increase their online visibility with high-quality content creation such as photography, videography, 360° virtual tours and social media marketing services and Paid marketing and other marketing services. Among other things, we provide Real Estate media: photography, videography and upon request complete social media management and strategy e, paid campaigns through paid media. Our social media managers build a stratgie, produce and post content according to a pre-established content strategy and calendar, tailored to the client.
Article 3 | Quotes, Prices, Advance & Payment
Quotes are valid for 30 days and are indicative and not binding. Prices are exclusive of VAT and subject to change due to changes in wages and raw material prices. Changes to the original quotation are always taken into account. After a quotation is signed, a deposit of 30% of the total amount is due. Invoices must be paid within 14 days of the invoice date. After this period an interest of 8.5% and a compensation of 10% will be charged on the outstanding balance.
Article 4 | Delivery time
The delivery times indicated by VINCIVE media are indicative and may vary, especially for the editing of videos and photos. However, if a specific deadline is required, this will be taken into account.
Article 5 | Contract Duration and Termination
The standard agreement for content creation services is concluded for an indefinite period and can be terminated in writing by both parties with a notice period of one month. Specifically for social media enhancement services, a contract term of one month (31 days) applies. And for paid media services, there is a contract term of wee months (61 days) (which is automatically terminated at the end of this period. If the cooperation is renewed, a new contract will be drawn up, with each contract period covering one to two full months depending on service. A 30% deposit is expected after signing the contract for social media enhancement and paid media services.
Article 6 | Resources used
VINCIVE media uses various resources such as smartphones, laptops, cameras, drones, and software to perform the services.
Article 7 | No guarantee of specific results
Our services do not guarantee specific results, such as going viral. We do our best and deliver quality media, but cannot offer compensation if the expected result is not achieved. VINCIVE media is not liable for the lack of specific results.
Article 8 | Content Calendar Adjustments
Our social media enhancement services allow a maximum of two adjustments to the pre-signed content calendar.
Article 9 | Contact with social media managers
In case of problems, the customer should only contact Davide Di Turi, the person in charge of VINCIVE media, by e-mail. However, social media managers can be contacted for questions via message/phone to ensure transparent communication.
Article 10 | Offer validity period
An offer must be signed within 14 days. After this period, the quote expires.
Article 11 | Cancellation period and weather conditions
Cancellation is possible up to 14 days before the scheduled service provision, in which case the advance payment will be refunded. In case of cancellation after this deadline, the deposit will not be refunded. In case of adverse weather conditions, the service can only be rescheduled or cancelled in case of extremely bad weather. In case of light weather conditions, an alternative location or new date will be discussed to avoid cancellation.
Article 12 | Social media publication
VINCIVE media may publish photos and videos produced by us on social media, our website, and other platforms. If the customer wishes to obtain full copyright rights, a fee of 50 euros must be paid. In this case, VINCIVE media does not retain publication rights.
Article 13 | Content ownership rights
VINCIVE media retains ownership rights to all content produced. The customer may use the content for any purpose. However, the ownership right of VINCIVE media is only relevant in cases where the customer would use the content to make money directly from it, for example by posting videos on YouTube with active income through monetization.
Article 14 | Non-solicitation clause
Customers are prohibited from working with freelancers engaged by VINCIVE media outside of VINCIVE media. If a customer violates this clause, a fine will be demanded equal to the amount that this collaboration would have cost if it had gone through VINCIVE media, without prejudice to VINCIVE media's right to claim additional damages.
Article 15 | Non-competition clause
Freelancers are not allowed to cooperate directly with customers of VINCIVE media without permission. If this happens, a fine will be demanded equal to the amount that this collaboration would have cost if it had been through VINCIVE media, without prejudice to VINCIVE media's right to claim additional damages.
Article 16 | Limitation of liability
VINCIVE media shall not be liable for damages, including but not limited to:
- Damage to customer property;
- Image damage;
- Indirect damages, such as lost profits, resulting from the use of our services;
- Physical or property damage caused, for example, by falling, bumping, or slipping during our work;
- Loss of and/or damage to client or other party's property;
- Accidents or physical damage caused by equipment;
- Damage caused by incorrect or incomplete information provided by the client;
- Color deviations in photographs or photo products printed from third-party suppliers;
- Delays in delivery due to causes beyond the control of VINCIVE media.
Article 17 | Payment term
Upon receipt of the invoice, the customer has 14 days to pay. If this period is exceeded, VINCIVE media may charge interest and administrative costs and suspend the provision of further services.
Article 18 | Applicable law and competent court
Only Belgian law is applicable to these terms and conditions and all transactions with VINCIVE media. In case of disputes, the court of Hasselt has jurisdiction.
